PART I — TERMS OF SERVICE

1. About dumbchat

The services provided by  Dumbchat Ai Ltd and/or its subsidiaries and affiliates (“dumbchat” or “we”) consist of an AI-powered productivity and communication platform that enables users to access, interact with, and leverage multiple artificial intelligence tools and capabilities, as well as other services and tools offered by us from time to time which may be subject to supplemental terms (collectively, the “Services”). A “User” is any individual who accesses or uses the Services under a registered account or as otherwise permitted by dumbchat.

These Terms of Service (“Terms”) govern your access to and use of dumbchat’s website, applications, and related services (collectively, the “Services”). Dumbchat Ai Ltd is the contracting entity providing Users with the Services, unless otherwise specified in a separate service or subscription agreement. By creating an account or using our Services, you agree to these Terms. Please read them carefully.

Note: These Terms form a binding agreement between you and dumbchat. Our Services are powered by third-party AI models, and your use is therefore also subject to the terms and policies of those third-party providers.

2. Eligibility and Account

2.1 Age Requirement

You must be at least 18 years of age, or the minimum age required to provide legal consent in your jurisdiction (whichever is higher), to use dumbchat. By registering, you represent that you meet this requirement.

2.2 Account Registration

To access certain features, you will need to create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at sales@dumbchat.ai if you suspect unauthorized access.

2.3 Account Sharing

You may not share your account credentials with others or permit third parties to access the Services through your account. Accounts are personal and non-transferable unless expressly authorized by dumbchat in writing.

3. Description of Services

dumbchat provides access to a curated suite of third-party AI language models as tools within our platform. These currently include, but are not limited to:

• Claude — developed by Anthropic
• GPT — developed by OpenAI
• Gemini — developed by Google
• QWEN — developed by Alibaba
• OpenClaw — dumbchat’s proprietary feature layer
• Other AI models as added from time to time

The availability, features, and capabilities of any specific model may change at any time, subject to decisions by dumbchat or the relevant third-party provider.

Important: dumbchat operates as an aggregator and access layer. We do not own, train, or control the underlying AI models provided by third parties. Each model operates under the governance of its respective provider.

4. Third-Party AI Models and Data Sharing

4.1 How Third-Party Models Are Used

When you interact with any AI model on dumbchat, your inputs (messages, prompts, files, and other content you submit) are transmitted to the respective third-party AI provider to generate a response. This transmission is necessary for the Services to function.

4.2 Data Shared with Third-Party Providers

By using dumbchat, you acknowledge and consent to the following:

• Your inputs and, where applicable, contextual session data are sent to the selected AI provider to process your request.
• Each provider may collect, process, store, and use your data in accordance with their own privacy policy and terms of service.
• dumbchat does not have control over how third-party providers handle data once it is transmitted to them.

The third-party providers whose terms and privacy policies apply when you use their respective models. We encourage you to review each provider’s policies before using the corresponding model. By selecting a model on dumbchat, you acknowledge that data will be shared with that provider.The model will include as stated but not limited as we will update from time to time.

4.3 Changes to Third-Party Policies

Third-party providers may update their own terms, privacy policies, data handling practices, data retention rules, or other policies at any time without prior notice to dumbchat. Such changes may affect:

• How your data is stored, processed, or shared by the provider.
• The availability or behavior of a particular model on our platform.
• The legal basis on which data is processed in your jurisdiction.

dumbchat will endeavor to inform users of material changes to third-party policies when we become aware of them. However, we cannot guarantee timely notice of all changes made by third parties. It is your responsibility to stay informed by reviewing the policies of the AI providers whose models you choose to use.

Key Notice: Any modification to a third-party provider’s data access, sharing, retention, or privacy practices automatically affects your experience on dumbchat for that model. dumbchat is not liable for changes made unilaterally by third-party providers.

5. AI Outputs and Responsible Use

5.1 Nature of AI Responses

Artificial intelligence models are powerful but inherently imperfect technologies. By using dumbchat, you acknowledge and agree that:

1. AI-generated outputs may be inaccurate, incomplete, outdated, misleading, or factually incorrect, even when they appear confident and detailed.
2. Outputs are generated probabilistically and do not constitute verified facts, professional advice, or guaranteed information.
3. AI models may reflect biases, errors, or inconsistencies present in their training data.
4. Outputs should not be relied upon as the sole basis for making decisions of significant consequence, including but not limited to legal, financial, medical, safety, or professional decisions.
5. dumbchat and its third-party providers make no warranty regarding the accuracy, reliability, or completeness of AI-generated content.

5.2 Responsible AI Use

dumbchat is committed to promoting thoughtful, critical, and responsible engagement with AI. We ask all users to:

• Critically evaluate AI responses before acting on them. AI is a tool to assist thinking, not replace it.
• Cross-check important information using authoritative sources, especially in critical contexts, including but not limited to technical, legal, medical, or financial.
• Be aware that AI models can “hallucinate”. “Hallucinate” means generating a plausible-sounding response but factually incorrect information.
• Use AI-generated content as a starting point, not a final product, particularly for research, advice, or decision-making.
• Report outputs that appear harmful, misleading, or inappropriate through our feedback channels.

Responsible AI Reminder: Engage critically. AI responses are generated, not verified. Always apply your own judgment and seek qualified human expertise for high-stakes decisions.

5.3 No Professional Advice

Nothing generated by any AI model on dumbchat constitutes legal, financial, medical, psychological, or other professional advice. dumbchat is not a licensed professional in any field, and AI outputs on the platform should not be treated as such.

6. User Conduct and Acceptable Use

By using dumbchat, you agree not to:

1. Use the Services for any purpose that violates applicable laws or regulations.
2. Submit prompts or content designed to generate illegal, harmful, abusive, harassing, defamatory, or fraudulent outputs.
3. Attempt to circumvent safety filters, content policies, or technical restrictions of any AI model.
4. Reverse engineer, scrape, or systematically extract data from the platform or AI models.
5. Use the Services to develop competing AI products or services.
6. Share, sell, or sublicense access to the Services without dumbchat’s written authorization.
7. Introduce malware, interfere with platform infrastructure, or attempt unauthorized access.

Detailed rules governing content and usage are set out in our Acceptable Use Policy (Part III of this document).

7. Inputs, Outputs, and Intellectual Property

7.1 Your Content

You retain ownership of any content you submit as inputs to dumbchat. By submitting inputs, you grant dumbchat a non-exclusive, worldwide, royalty-free license to process, transmit, and use your inputs solely to provide the Services to you.

7.2 AI Outputs

Ownership and intellectual property rights in AI-generated outputs vary by jurisdiction and may be affected by the policies of the underlying AI provider. dumbchat makes no claim to ownership of outputs generated on your behalf. However, we cannot guarantee that outputs are free from third-party intellectual property rights, and you are responsible for ensuring your use of outputs complies with applicable law.

7.3 dumbchat Intellectual Property

The dumbchat brand, platform, design, OpenClaw technology, and all associated software remain the exclusive property of dumbchat. You may not reproduce, modify, distribute, or use dumbchat’s proprietary assets without prior written permission. Access to all permissible features will be given with written permission.

8. Fees and Subscriptions

Certain features of dumbchat may require a paid subscription or usage-based payment. All applicable fees will be clearly communicated prior to purchase. By subscribing, you agree to the applicable pricing and billing terms. Fees are generally non-refundable unless required by applicable law or expressly stated otherwise.

dumbchat reserves the right to update pricing with reasonable advance notice. Continued use after a price change constitutes acceptance of the new pricing.

9. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND. dumbchat EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, dumbchat SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING DAMAGES ARISING FROM AI OUTPUTS, THIRD-PARTY MODEL BEHAVIOR, DATA HANDLING BY THIRD-PARTY PROVIDERS, OR CHANGES IN THIRD-PARTY TERMS AND POLICIES.

dumbchat’s LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE “SERVICES” WILL BE ASSESSED ON A CASE-BY-CASE BASIS, TAKING INTO ACCOUNT THE NATURE AND CIRCUMSTANCES OF THE CLAIM. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO DUMBCHAT IN THE ONE (1) MONTH PROCEEDING THE CLAIM OR WHICHEVER IS GREATER.

10. Modifications and Termination

dumbchat reserves the right to modify, suspend, or discontinue the Services or any feature at any time, including in response to changes in third-party provider policies, legal requirements, or operational considerations. We will endeavor to provide reasonable advance notice of material changes.

We may also update these Terms from time to time. Material changes will be communicated via broadcast messages, in-app notification, email or any communication channels use by dumbchat. Continued use of the Services after the effective date of an update constitutes acceptance of the revised Terms.

You may terminate your account at any time. dumbchat may suspend or terminate your account for violation of these Terms or applicable law.

11. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the courts of Hong Kong, as applicable.

PART II — PRIVACY POLICY

dumbchat (“we”, “us”, or “our”) is committed to protecting your personal data. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you use the dumbchat platform and its associated services.

By using dumbchat, you consent to the data practices described in this policy. If you do not agree, please do not use our Services.

1. Data We Collect

1.1 Information You Provide

• Account information: name, email address, password, and profile details.
• Payment information: billing details processed securely via third-party payment providers.
• Inputs: messages, prompts, files, and content you submit to AI models.
• Feedback: ratings, bug reports, and communications you send to us.

1.2 Information Collected Automatically

When you use DumbChat, we automatically collect certain technical information about your device, browser, and connection, including your IP address and approximate location. We also track how you interact with the platform, such as session activity, features used, and system logs, to keep the service running smoothly and improve your experience.

2. How We Use Your Data

We use your personal data for the following purposes:

1. To provide, maintain, and improve the dumbchat platform and Services.
2. To create and manage your account.
3. To process payments and manage subscriptions.
4. To transmit your inputs to the selected third-party AI model to generate responses.
5. To detect and prevent fraud, abuse, and violations of our policies.
6. To communicate with you about your account, updates, and promotions (where permitted).
7. To analyze platform usage and improve user experience.
8. To comply with applicable legal obligations.

3. Data Sharing with Third-Party AI Providers

dumbchat’s core functionality requires transmitting your inputs to third-party AI model providers. This is a fundamental aspect of how the Services work.

3.1 What Is Shared

When you submit a prompt or interact with an AI model on dumbchat, the following data may be transmitted to the relevant provider including but not limited to input text, files, content submitted in the session, or session metadata as required by the provider’s API (e.g., conversation context).

3.2 Provider-Governed Data Practices

Each third-party provider independently governs how it collects, uses, retains, and shares data processed through its models. dumbchat has no control over these practices once data is transmitted. Providers may use transmitted data for purposes including, but not limited to, model improvement, safety monitoring, and abuse prevention, subject to their own opt-out mechanisms.

Important: Your data, once sent to a third-party provider, is governed by that provider’s privacy policy. dumbchat strongly encourages users to review the policies of each provider.

3.3 Effect of Third-Party Policy Changes

Third-party providers may amend their privacy policies, data retention schedules, data sharing arrangements, or terms of service at any time. Such changes may affect:

• The manner in which your data is processed or retained by the provider.
• The regions in which your data is stored.
• Whether and how your data may be used for model training or other purposes.
• The rights available to you under the provider’s policy.

dumbchat will make reasonable efforts to monitor for and communicate material changes by third-party providers. However, dumbchat is not responsible for third-party policy changes and cannot guarantee that all changes will be communicated in advance. Users are responsible for staying informed of the policies of the AI providers whose models they choose to use.

4. Other Data Disclosures

dumbchat may share your personal data with trusted third parties where necessary to operate our services, comply with legal obligations, protect the safety of our users and platform, or as part of a business transaction. We will also share your data for any purposes you have explicitly consented to.

5. Data Retention

dumbchat retains your personal data only as long as necessary for the purposes described in this policy or as required by applicable law. Specifically:

• Account data is retained for the duration of your account and for a reasonable period thereafter to handle disputes or legal obligations.
• Data transmitted to third-party AI providers is retained according to each provider’s retention schedule, which may differ from dumbchat’s retention periods.

You may request deletion of your personal data at any time by contacting sales@dumbchat.ai. Please note that deletion requests for data held by third-party providers must be directed to those providers.

6. Your Rights and Choices

Depending on your location where you live, you may have certain rights over your personal data, including but not limited to access, correct, delete, or transfer it, as well as the right to object or withdraw consent for certain types of processing.

7. Data Security

dumbchat implements appropriate technical and organizational measures to protect your personal data from unauthorized access, disclosure, loss, or misuse.

However, no system is completely secure. You acknowledge that transmitting data over the internet carries inherent risk, and dumbchat cannot guarantee absolute security. In the event of a data breach that poses a risk to your rights, we will notify affected users as required by applicable law.

8. Children’s Privacy

dumbchat’s Services are not directed at individuals under 18 years of age. We do not knowingly collect personal data from minors. If we become aware that we have collected data from a person under 18, we will take steps to delete it promptly. Please contact us at sales@dumbchat.ai if you have concerns.

9. International Data Transfers

dumbchat operates across multiple jurisdictions, and your data may be transferred to and processed in countries outside your country of residence, including countries where data protection laws may differ. When transferring data internationally, dumbchat relies on appropriate safeguards such as standard contractual clauses and/or other legally recognized mechanisms.

Additionally, data transmitted to third-party AI providers may be processed in multiple countries, subject to each provider’s data transfer practices.

10. Changes to This Privacy Policy

dumbchat may update this Privacy Policy to reflect changes in our practices, third-party provider policies, or legal requirements. We will notify you of material changes via broadcast messages, in-app notification, email or any communication channels use by dumbchat. The updated policy will be effective from the date indicated at the top of the policy. Continued use of the Services after that date constitutes acceptance of the revised policy.

PART III — ACCEPTABLE USE POLICY

This Acceptable Use Policy (“AUP”) sets out the rules for how dumbchat’s Services may and may not be used. It applies to all users and supplements the Terms of Service. By using dumbchat, you agree to comply with this AUP.

dumbchat operates across multiple AI models, each with its own content policies from their respective providers. You must comply with both this AUP and the applicable content policies of any third-party AI model you use.

1. Prohibited Uses

You may not use dumbchat or any AI model accessible through the platform to:

1.1 Illegal Activities

• Violate any applicable local, national, or international law or regulation.
• Facilitate fraud, identity theft, financial crimes, or money laundering.
• Create, distribute, or access child sexual abuse material (CSAM) in any form.
• Engage in or facilitate terrorism, extremism, or politically motivated violence.

1.2 Harmful Content

• Generate content that incites violence, hatred, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
• Create or distribute content designed to harass, stalk, threaten, or harm individuals.
• Produce disinformation, deepfakes, or synthetic content intended to mislead the public.
• Generate content that promotes self-harm, suicide, or dangerous behaviors.

1.3 Manipulation and Deception

• Use AI outputs to impersonate real individuals or organizations fraudulently.
• Deploy AI-generated content in mass influence operations or coordinated disinformation campaigns.
• Mislead end users about the AI-generated nature of content without appropriate disclosure.

1.4 Security and Technical Abuse

• Attempt to circumvent, disable, or undermine the safety systems, content filters, or technical restrictions of any AI model or the dumbchat
• Use AI outputs to develop malware, cyberweapons, exploit code, or attack tools.
• Conduct unauthorized penetration testing, scraping, or data extraction against dumbchat or third-party systems.
• Generate content designed to facilitate unauthorized access to computer systems or networks.

1.5 Privacy Violations

• Submit or generate content that reveals non-public personal data about individuals without their consent.
• Use AI outputs to surveil, track, or profile individuals without authorization.
• Facilitate data broking, mass data collection, or privacy violations.

2. Responsible AI Use Requirements

In addition to prohibited uses, dumbchat expects all users to engage with AI tools responsibly. Specifically, you agree to:

1. Apply critical judgment to AI-generated outputs and not treat them as definitive facts.
2. Disclose the AI-generated nature of content where required by law or professional standards.
3. Not use AI outputs to replace qualified professional advice in legal, medical, financial, or safety-critical contexts without independent verification.
4. Review AI outputs for accuracy, bias, and suitability before publishing, distributing, or acting on them.
5. Report outputs that appear harmful, inaccurate, or in violation of this AUP using our user feedback mechanisms.

3. Enforcement

dumbchat monitors usage patterns for policy violations using automated and human review processes. Violations of this AUP may result in:

• Warning notices and required remediation.
• Temporary suspension of account access.
• Permanent termination of your account.
• Reporting to law enforcement where required by law or where there is risk of serious harm.

dumbchat reserves the right to investigate potential violations and take any action it deems appropriate, including removing content and cooperating with authorities. We will provide reasonable opportunity to appeal account actions where practicable.
